Terms of Service

1. Agreement to Terms

By accessing or using deskctl (the "Service"), operated by FlowCanon LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. We may update these terms from time to time, and your continued use constitutes acceptance of any changes.

2. Description of Service

deskctl is operational software for coworking spaces. The Service provides membership management, billing, WiFi access control, door access management, and booking functionality. The Service is provided to coworking space operators ("Operators") and their members ("Members"). These terms govern your use of the Service in either capacity.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

4. Accounts and Authentication

You may create an account using Google or Apple sign-in. You are responsible for maintaining the security of your authentication credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.

5. Payments and Billing

Payments are processed through Stripe. By purchasing a membership, day pass, or other paid feature, you agree to the following:

• You authorize us to charge your payment method for the fees associated with your selected plan.
• Subscriptions renew automatically at the end of each billing period unless canceled before the renewal date.
• Prices are set by the Operator of each coworking space and may vary by location and tier.
• Refund policies are determined by individual Operators. Contact the Operator of your space for refund requests.
• Failed payments may result in automatic suspension or revocation of access, including WiFi and door access, without prior notice.

6. Access Control

The Service automates WiFi and physical access based on membership and payment status. Access (including internet connectivity and door entry) is granted, suspended, or revoked automatically based on your account standing. We are not liable for disruptions to access caused by network outages, hardware failures, or third-party service interruptions.

7. Operator Responsibilities

If you are an Operator using the Service to manage your coworking space, you are responsible for: setting pricing and refund policies; configuring membership tiers and access rules; ensuring that your use of the Service complies with applicable laws, including any agreements you have with your Members; and providing your own terms and policies to your Members as needed.

8. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law.
• Attempt to gain unauthorized access to the Service, other accounts, or network infrastructure.
• Interfere with or disrupt the Service, servers, or networks connected to the Service.
• Circumvent or attempt to circumvent access controls, including WiFi or door access restrictions.
• Use another person's account or credentials without authorization.
• Reverse engineer, decompile, or disassemble any part of the Service.

9. Intellectual Property

The Service, including its software, design, text, and branding, is owned by FlowCanon LLC and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. This license does not include the right to copy, modify, distribute, or create derivative works of the Service.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and share your information.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOWCANON LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless FlowCanon LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may stop using the Service at any time. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including indemnification, limitation of liability, and dispute resolution) will survive.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Idaho, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Idaho. You waive any objection to jurisdiction and venue in such courts.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy and any space-specific agreements presented through the Service, constitute the entire agreement between you and FlowCanon LLC regarding your use of the Service.
